Türkiye’de şirketler, yaşanan konjonktürel dalgalanmalar karşısında varlığını
sürdürebilmek ve rakiplerine üstünlük sağlayabilmek için finansman kaynağı olarak
çoğunlukla borsayı tercih etmektedir. Bu amaçla şirketler, halka açık olmayan
hisselerini borsada işlem görmek üzere halka arz etmektedir. Hisse senetleri ilk defa
halka arz edilirken şirketlerin, yatırımcının ilgili hisse için ödemeyi öngördüğü fiyatı
bilmesi mümkün değildir. Doğru fiyatlandırma ancak aracı kurumların şirketleri
doğru yönlendirmesiyle gerçekleşir. Aracı kurumlar halka arzdan kaynaklı risklere
karşı kendilerini garantiye almak için ilk defa halka arz edilecek hisse senetlerinin
fiyatlarını düşük belirleyebilmektedir.
Bu çalışmada, tek aracı kurum tarafından ilk defa halka arz edilen hisse
senetlerinin kısa, orta ve uzun dönem fiyat performanslarının incelenerek düşük
fiyatlandırma yapılıp yapılmadığının; düşük fiyatlandırma söz konusu ise aracı
kurumun, aracılık türünün ve halka arz yılının düşük fiyatlandırmaya etkisinin
araştırılması amaçlamıştır. Çalışma 1993–2006 yılları arasında İMKB’de tek aracı
kurum tarafından ilk defa halka arz edilmiş 40 hisse senediyle gerçekleştirilmiştir.
Fiyat performansının incelenmesi için öncelikle kısa orta ve uzun dönemde ham,
endeks ve anormal getiriler hesaplanmıştır. Çalışmada söz konusu hisse senetlerinin
kısa dönemde anormal getiri sağladığı gözlemlenmiştir. Bu bulgudan yola çıkarak
hisse senetlerinin kısa dönemde düşük fiyatlandırıldığı ortaya konmuştur. Analizin
ikinci aşamasında aracı kurumun, aracılık türünün ve halka arz yılının düşük
fiyatlandırmaya olan etkisi ANOVA yöntemiyle incelenmiştir. Çalışma bulguları
beklenenin aksine, düşük fiyatlandırma olgusunun halka arz türü, halka arz yılı ve
aracı kurumdan bağımsız gerçekleştiğini göstermiştir.
Firms in Turkey may tend to rely on various financial resources, especially in
the stock market as a source of financials, in order to survive the fluctuations and to
establish superiority among the rival firms. For that reason, firms go public to set
free their shares on the stock market to attract public interest. It is almost impossible
for the issuers, namely the firms, to correctly predict the price investors would pay
for the stock when they are first offered for the public. Accurate pricing of the stock
is only possible when the underwriters inform the issuers fully. Underwriters may
mislead the issuers about their stock value to guarantee themselves against the risks
of stocks not fully going public during offering.
In this study, it was aimed at investigating the effect of underwriter on the
abnormal returns of stocks (underpricing) by looking into stock’s price performance
in short, medium and long-run. This study is conducted with 40 stocks whose first
public offerings are carried out by only one underwriter between the years 1993-
2006. To investigate the short, medium and long-term price performance of these
stocks, raw, index and abnormal returns are computed. These returns are analyzed for
underpricing by looking at returns that were higher or lower than the expected price.
In the study, it was seen that in the short run, the stocks yielded abnormal returns, yet
on the middle and long-run, these returns converge to the normal price level. Based
on that finding, it was concluded that underpricing was active on the short-run. In the
second phase of analysis, underpricing was investigated with reference to the
variables underwriter, underwriting and year of underwriting by ANOVA analysis.
The results showed that the independent variables have no significant effect on
underpricing.
